Applies to: All services and APIs offered by Local Data Exchange, including but not limited to the Business Listings API, Business Reviews API, Entity Resolution API, Business Scoring API, and Presence Search API.

1. Agreement Scope

This Master Services Agreement (“Agreement”) governs your use of any and all Local Data Exchange (“LDE”) services and APIs, including sandbox and production environments. It is effective upon your submission of the online sign-up form and applies regardless of which LDE APIs you choose to test or use.

By submitting the form, you agree to be bound by these terms on behalf of the business or entity you represent. You also acknowledge that sandbox credential issuance initiates the test period and that production credential issuance triggers billing obligations.

2. Test Period and Contract Term

30-Day Test Period: You may use sandbox credentials for up to 30 days at no cost, beginning on the date LDE issues sandbox credentials. During this time, you may cancel service at any time with no penalty.

Automatic Contract Start: If you do not cancel within the 30-day test period, your business enters into a minimum term contract beginning on day 31. The default minimum term is three (3) years, unless a different term is mutually agreed upon in writing by both parties.

Production Access: Production credentials are issued upon request or automatically at the end of the 30-day testing period, whichever comes first. You may not access production APIs until these credentials are issued and the Initial Deposit has been received by LDE.

Billing Commencement: Upon production credential issuance or day 31 of the test period (whichever comes first), billing begins based on the applicable minimum and usage-based terms outlined below.

3. Fees, Billing & Payment

Initial Deposit: A $1,000 deposit is due when production credentials are issued. This deposit may increase in the future to reflect anticipated usage and monthly minimums, based on written notice from LDE.

The deposit is refundable upon termination of the Agreement, provided that all outstanding balances have been paid and Customer has otherwise complied with this Agreement. LDE reserves the right to apply the deposit toward unpaid invoices or other amounts owed.

The deposit may be retained, in whole or in part, if LDE determines, in its reasonable discretion, that Customer has engaged in fraudulent activity, submitted spam, fraudulent, or non-publishable Locations or business records, materially misrepresented business information, or demonstrated a repeated pattern of submissions intended primarily to manipulate search visibility, publisher ecosystems, or otherwise circumvent LDE validation or publisher eligibility requirements.

Monthly Minimum Fees: A monthly minimum applies depending on the API(s) enabled. This minimum is communicated in writing prior to production credential issuance.

Usage Fees: In addition to the minimum, you will be billed based on your actual API usage (e.g., per listing, per request, or per profile lookup), as described in product documentation or written communications.

Invoicing: Invoices will be issued monthly and are due within ten (10) days of receipt. Unpaid invoices may result in suspension of service.

Pricing Confirmation: Until LDE publishes standard pricing pages, all pricing terms will be communicated directly by LDE via email or other written communication. By submitting your onboarding form or requesting sandbox credentials after receiving such pricing information, you acknowledge and agree to those communicated terms, including any applicable monthly minimums, usage fees, and deposit requirements.

4. License & Use

LDE grants you a limited, non-exclusive, non-transferable license to access and use the selected API(s) during the term of this Agreement in accordance with API documentation.

You may not:

Resell, sublicense, or redistribute API data unless specifically authorized in writing;
Use the APIs in a manner that violates applicable laws or third-party rights;
Attempt to reverse engineer or interfere with the APIs or Services.

5. Support & Availability

Support is available via applicable LDE Support Portal. Access will be shared along with production credentials. LDE will make reasonable efforts to ensure uptime and respond to support inquiries in a timely manner. Uptime and availability are not guaranteed unless otherwise stated in a separate Service Level Agreement.

6. Termination

You may cancel service at any time during the 30-day test period without obligation.

After the test period, this Agreement may be terminated:

For cause (e.g., material breach), by either party with 15 days’ written notice and opportunity to cure;
For convenience, by either party at the end of the initial 3-year term, or any renewal term, with written notice at least 30 days prior to the end of such term.

LDE may suspend or terminate access to any service if payment is overdue or if the Agreement is otherwise violated.

7. Data & Confidentiality

You agree not to misuse or reverse engineer the APIs.

LDE will not share your confidential data with third parties except:

As required to provide the Services;
In compliance with legal obligations.

Both parties agree to use reasonable care to protect each other’s confidential information and not to disclose it to unauthorized parties during the term of this Agreement and for three (3) years thereafter.

8. Notices

All legal notices must be sent to the address you provide during sign-up. Notices to LDE may be sent to contracts@localdataexchange.com.

9. Governing Law

This Agreement is governed by the laws of the State of California, USA, without regard to its conflict of laws principles.

10. Updates

LDE may update these terms from time to time. Material changes will be posted on this page and apply going forward. Continued use of LDE services after such changes constitutes acceptance.
